Terms and Conditions of Doing Business with WHC Global Resources Co., Ltd.
1. General Principles
All business transactions with WHC Global Resources Co., Ltd. (“WHC Global”) are conducted under principles of transparency, compliance, and professionalism. By entering into any agreement, clients and partners acknowledge and accept these terms.
2. Orders and Agreements
• All orders must be supported by formal documentation, including Letter of Intent (LOI), Irrevocable Corporate Purchase Order (ICPO), or signed Sales and Purchase Agreement (SPA).
• Agreements are valid only when executed with authorized signatures and company seals from both parties.
3. Pricing and Payment Terms
• Prices are quoted in accordance with agreed Incoterms (CIF, CFR, EXW, etc.) and are subject to confirmation at the time of contract signing.
• Payment terms include Telegraphic Transfer (TT), Letter of Credit (LC), Documentary LC (DLC), or Standby LC (SBLC), unless otherwise agreed in writing.
• Unless specified, standard terms are 50% deposit and 50% upon shipment and document release.
4. Documentation and Compliance
• WHC Global provides all required export documentation, including Commercial Invoice, Packing List, Health Certificate, Certificate of Origin, Halal Certificate, and CCIC Inspection Report (where applicable).
• Compliance with all relevant government department.
5. Inspection and Quality Assurance
• All goods are subject to inspection by accredited agencies (e.g., SGS, CCIC) prior to shipment.
• Any claims regarding product quality must be raised in writing within seven (7) working days of receipt, supported by valid inspection reports.
6. Shipping and Delivery
• Delivery timelines are estimates and subject to logistics, customs clearance, and regulatory processes.
• WHC Global is not liable for delays caused by force majeure events including but not limited to natural disasters, pandemic, strikes, regulatory restrictions, or political instability.
7. Refund Clause
• If WHC Global fails to deliver goods within the agreed timeline (except under Force Majeure circumstances), the buyer is entitled to a full refund of any advance payment made.
• Refunds will be processed within thirty (30) working days after both parties confirm the cancellation in writing and proof of products.
• In the event of late refund by WHC Global, an additional penalty of 2% of the total amount paid per month will be compensated to the buyer.
8. Force Majeure
• Neither WHC Global nor its partners shall be held liable for failure or delay in performing obligations due to causes beyond reasonable control, including but not limited to natural disasters, fire, flood, epidemics, war, civil unrest, strikes, government restrictions, sanctions, changes in law, or disruptions in transportation and logistics.
• In such cases, obligations shall be suspended for the duration of the force majeure event.
• If the event continues for more than ninety (90) days, either party may terminate the agreement without penalty, except that payments already made for delivered goods shall remain valid.
9. Fraud Prevention and Legitimacy
• WHC Global strictly prohibits fraudulent activities and reserves the right to terminate any transaction deemed suspicious.
• All documents and contracts must be verifiable in official systems. Fake or misleading documentation will result in immediate cancellation of the transaction.
10. Confidentiality
• All information exchanged between WHC Global and its partners shall be treated as confidential and not disclosed to third parties without prior written consent.
11. Governing Law and Jurisdiction
• These terms and conditions shall be governed by the laws of the Kingdom of Thailand.
• Any disputes arising shall be resolved amicably, and failing that, submitted to arbitration or the competent courts in Thailand.
